Novavax Shareholder Himanshu Shah To Focus On Family Office
India-West News Desk
NEW YORK, NY – Shah Capital, formerly an activist institutional investor and the second-largest shareholder in Novavax, Inc., has officially announced a fundamental shift in its operational structure and corporate governance stance. Reuters reported that the company confirmed in regulatory filings with the U.S. Securities and Exchange Commission (SEC), Shah Capital has formally ceased its role to influence control over the vaccine manufacturer. This decision coincides with the firm’s strategic transition into a family office.
To facilitate this transition, Shah Capital filed a Form ADV-W with the SEC to voluntarily deregister as an investment adviser. In its place, the entity has established the Himanshu Shah Family Office LLC to manage the firm’s portfolio moving forward.
Himanshu Shah, the Raleigh based founder, president, and chief investment officer of Shah Capital, will continue to oversee investment operations under this single-family private structure, Reuters said.
Concurrently, the group intends to transition its SEC reporting status for Novavax shares from Schedule 13D (active investor) to Schedule 13G (passive investor), confirming that the firm no longer holds securities with the purpose or intent of altering corporate governance or company control.
On October 5, the fund executed a market transaction disposing of 2.87 million Novavax shares at an average price of $11.35 per share.
Despite the partial stake reduction, the firm and its founder maintain a substantial ownership position in Novavax. Shah Capital directly holds beneficial ownership of 10.54 million shares, representing approximately 6.39% of the company’s total outstanding shares. Individually, Himanshu Shah reports beneficial ownership of 10.66 million shares, accounting for a 6.46% stake.
